Terms of Service

1. What Maple Is

Maple is a personal scheduling and time management assistant operated by Ramon Labs, Inc., a Delaware corporation. It helps you schedule meetings, manage your calendar, set reminders and tasks, connect your communication channels, and — over time — take actions on your behalf within limits you define. Maple connects to the tools and services you use, including calendars, contacts, messaging platforms (such as WhatsApp, Signal, iMessage, or SMS), email clients (such as Gmail or Outlook), and team tools (such as Slack or Teams), as well as any other services added in the future.

Maple's AI assistant is not a human. It does not provide professional advice — legal, medical, financial, or otherwise — and it can make mistakes. Do not rely on Maple for high-stakes decisions without independently verifying the outcome.

2. Your Account

• You must provide accurate information when creating an account, whether through explicit signup or by connecting your calendar
• You are responsible for the security of your account and all activity under it
• You must be at least 16 years old to use Maple
• One account per person; you may not share accounts or create accounts on behalf of others without their consent

3. Beta Product Acknowledgments

The following acknowledgments are a material part of your agreement with Ramon Labs. By using Maple, you confirm each of the following:

3.1 Early-Stage Product

• The service is provided for early use and feedback — it is not certified or validated for production use
• Ramon Labs makes no representation that the service will meet your requirements or be fit for any particular purpose

3.2 Service Changes and Discontinuation

You accept that Ramon Labs may, at any time and without liability to you:

• Change, modify, or remove any feature
• Suspend or discontinue the service, temporarily or permanently
• Change these Terms or the way the service operates
• Reset or migrate data, which may result in loss of your stored data

3.3 Risk of Data Loss

• Your data in Maple may be lost, corrupted, or deleted at any time due to bugs, development activity, infrastructure failures, or deliberate resets
• Ramon Labs does not guarantee data continuity or recovery during this phase
• You should not rely on Maple as the sole place any important data is stored

3.4 Elevated Security Risk

• The risk of a security vulnerability or data incident is higher in an early-stage product
• Ramon Labs will apply reasonable security measures and make every effort to protect your data
• You accept this elevated risk as a condition of using the service

4. Indemnification and Limitation of Liability

4.1 Your Indemnification of Ramon Labs

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Ramon Labs and its founders, officers, employees, contractors, advisors, and developers (collectively, the "Ramon Labs Parties") from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of or inability to use the Maple service
• Any data loss, data breach, or security incident affecting your data during this phase
• Any action taken by Maple on your behalf within the scope of permissions granted by you
• Any automation, job, or rule you configured and enabled within the service
• Any disruption, discontinuation, or change to the service
• Your violation of these Terms or any applicable law

4.2 Exception: Fraud and Intentional Malicious Conduct

The indemnification and limitations above do not apply where harm was directly caused by:

• Fraud by Ramon Labs or the Ramon Labs Parties
• Intentional, malicious conduct by Ramon Labs or the Ramon Labs Parties directed at you

4.3 Disclaimer of Warranties

Maple is provided "AS IS" and "AS AVAILABLE" without warranty of any kind, express or implied. Ramon Labs expressly disclaims all warranties including merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and freedom from bugs or data loss.

4.4 Cap on Liability

To the maximum extent permitted by applicable law, the total liability of Ramon Labs to you for any claim arising from your use of the service — regardless of the legal theory — shall not exceed the greater of: (a) the total fees you paid to Ramon Labs in the 12 months preceding the claim; or (b) one hundred US dollars (US $100).

4.5 No Consequential Damages

In no event shall Ramon Labs be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of data, loss of profits, loss of business, or reputational harm — even if Ramon Labs has been advised of the possibility of such damages.

4.6 Class Action Waiver

To the maximum extent permitted by applicable law, you agree to resolve any disputes with Ramon Labs on an individual basis and waive your right to participate in any class action lawsuit or class-wide arbitration against Ramon Labs. This waiver does not apply where prohibited by law.

5. What You Authorize Maple to Do

By connecting your accounts and using Maple's features, you grant Maple permission to act as follows. Each category requires your explicit authorization at the time it is first used:

5.1 Calendar and Scheduling

• Read your calendars across any connected provider to determine your availability
• Create, update, and delete calendar events when you confirm a scheduling action

5.2 Contacts

• Read contacts from any connected provider to identify people and pre-fill details
• Update contact records with information learned during scheduling, subject to your confirmation

5.3 Communications

• Send scheduling-related messages and calendar invitations on your behalf via any connected channel
• Read and process message content on connected channels to the extent required to complete actions you have authorized

5.4 Tasks and Reminders

• Create, update, and delete tasks and reminders that you define
• Send you notifications via your configured channels

5.5 Autonomous Actions

When you configure Maple to act within rules you define without per-action approval, you grant Maple authority to act within those boundaries. Every autonomous action is logged. You can review or revoke any autonomous permission at any time.

5.6 User-Configured Automations

You may configure automations, recurring tasks, workflows, and rules of any kind. By enabling an automation, you authorize Maple to execute it as configured and to access the data it requires. You are responsible for reviewing the scope of any automation before enabling it. Ramon Labs is not liable for outcomes resulting from automations you configured, subject to Section 4.

6. What Ramon Labs Will Not Do

• Sell your data or share it with any party for advertising, marketing, or any purpose unrelated to operating Maple and providing the service
• Access systems or accounts beyond those you have explicitly connected
• Act outside the scope of permissions and configured automations you have set
• Use your data to train third-party AI models, or to train Ramon Labs' own AI models
• Conduct, permit, or facilitate any fraudulent or malicious action targeting users

7. Acceptable Use

You agree not to:

• Use Maple to contact people without their consent
• Configure automations designed to harass, spam, or deceive others
• Attempt to reverse-engineer, scrape, or abuse the Maple platform or API
• Use Maple for any commercial purpose beyond your own personal or internal business use, including reselling, sublicensing, or redistributing access to the service, offering Maple's functionality as part of your own product or service, building wrappers or applications on top of Maple's API, or otherwise exploiting the service for commercial gain
• Use Maple if you are located in a jurisdiction subject to applicable sanctions or export control restrictions, including those administered by the U.S. Office of Foreign Assets Control (OFAC)
• Use Maple for any illegal purpose or in violation of applicable law
• Impersonate another person or create false scheduling requests

Ramon Labs reserves the right to suspend or terminate accounts that violate these rules.

8. Uptime and Service Availability

Maple is an early-stage product and does not provide any guarantee of uptime or availability. We aim to keep the service operational and accessible, but the service may be unavailable at any time due to maintenance, development activity, infrastructure failures, or other causes. We will make reasonable efforts to communicate planned downtime in advance where possible.

9. Rate Limiting and Fair Use

To protect the quality and availability of the service for all users, Maple may apply rate limits to API usage, message volume, and automation frequency. Accounts that generate unusually high volumes of requests or that appear to be abusing the service may be throttled or suspended. We reserve the right to define and adjust these limits at any time.

10. AI Limitations and Your Responsibility

You acknowledge that:

• Maple's AI can produce incorrect, incomplete, or unexpected outputs
• Maple's decisions are based on the information available at the time and may lack full context
• Maple's AI may produce outputs that reflect biases present in its training data or underlying models. Ramon Labs does not warrant that outputs will be free from bias.
• Similar or identical inputs may produce similar or identical outputs for different users. Ramon Labs makes no representation that any output generated by Maple is original, unique, or free from similarity to outputs generated for others. You should not assume that you have exclusive rights to any AI-generated output, and Ramon Labs expressly disclaims any warranty of originality or non-infringement with respect to outputs.
• You are responsible for reviewing Maple's proposals before confirming them
• For autonomous actions, you accept responsibility for the rules you configured
• Maple is a tool to assist you — final judgment on important decisions remains yours

11. Connected Accounts and Third-Party Services

When you connect a third-party account to Maple — whether a calendar, email, messaging app, task tool, or anything else — you are also subject to that provider's terms of service. Maple's access is governed by the permissions you grant. You can revoke access at any time through Maple's settings or directly through the provider. You are solely responsible for any subscription fees, charges, or costs imposed by third-party providers whose accounts you connect to Maple. Ramon Labs has no responsibility for such fees and will not reimburse or credit you for any charges incurred with third-party services.

12. Feedback

If you provide feedback, suggestions, ideas, or other input about Maple ("Feedback"), you grant Ramon Labs a perpetual, irrevocable, worldwide, royalty-free license to use that Feedback for any purpose, including to improve the service, without any obligation to compensate you or keep it confidential. You are not required to provide Feedback.

13. Data and Privacy

Your use of Maple is subject to our Privacy Policy, incorporated into these Terms by reference.

14. Account Deletion and Termination

14.1 Deletion by You

To delete your account and all associated data, send an email to contact@usemaple.app. We will action your request promptly.

14.2 Termination by Ramon Labs

Ramon Labs reserves the right to suspend or terminate your account and access to Maple at any time, for any reason, including but not limited to a violation of these Terms, suspected abuse, or discontinuation of the service. Upon termination, your right to access the service ceases immediately. Your data will be deleted in accordance with the retention schedule in the Privacy Policy.

15. Assignment

Ramon Labs may assign or transfer these Terms, or any rights or obligations under them, to any affiliate, successor, or acquirer in connection with a merger, acquisition, sale of assets, or change of control, without your consent. You may not assign your rights or obligations under these Terms without Ramon Labs' prior written consent. These Terms will be binding on and inure to the benefit of any permitted successors and assigns.

16. Intellectual Property

16.1 Ramon Labs Ownership

Ramon Labs owns and shall retain exclusive ownership of the Maple platform and all intellectual property rights in connection therewith, including its codebase, AI systems, models, algorithms, interfaces, and all improvements or derivatives thereof, whether now existing or hereafter developed.

16.2 License to You

Subject to your compliance with these Terms, Ramon Labs grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the service solely for your personal or internal business use, for the duration of these Terms. This license terminates automatically upon termination of these Terms by either party for any reason.

16.3 Your Data

You own your data. By using Maple, you grant Ramon Labs a limited, non-exclusive license to access, process, and use your data solely to provide and operate the service as described in these Terms and the Privacy Policy. You represent and warrant that you have obtained all necessary rights, permissions, and consents to submit, share, make available, or provide access to any data — including personal data of third parties — whether directly or by granting Maple access permissions to your accounts at third-party providers.

16.4 Aggregated and Anonymized Data

Notwithstanding the above, Ramon Labs may collect, use, and share aggregated or anonymized data derived from your use of the service, provided that such data does not identify you or any individual, for internal research, analytics, and improvement of the service.

17. Export Controls and Sanctions Compliance

Maple is subject to the laws and regulations of the United States, including U.S. export control laws and economic sanctions administered by OFAC. You may not use Maple if you are located in, or are a national or resident of, any country or territory subject to U.S. sanctions, or if you are on any U.S. government list of restricted parties. By using Maple, you represent that you are not subject to any such restrictions.

18. Changes to These Terms

We will notify you of material changes by email or in-app notice at least 7 days before they take effect. Continued use after the effective date constitutes acceptance.

19. Governing Law

These Terms are governed by the laws of the State of Delaware, United States. Any dispute arising from these Terms or your use of Maple shall be resolved in the state or federal courts located in Delaware.

20. Severability; Entire Agreement

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, severed from these Terms. The remaining provisions shall continue in full force and effect.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Ramon Labs regarding Maple and supersede all prior agreements or understandings.
